1. Our Engineering Services
Kairo Labs provides rapid, premium Minimum Viable Product (MVP) engineering and design services designed to push founders to market within targeted timeframes (e.g., 4 Days). The specifics, scope, and deliverables of any development project will be strictly governed by a separate Master Services Agreement (MSA) signed prior to the commencement of code execution.
2. Intellectual Property Rights
We respect your intellectual property. Our stance is clear:
- Your Product: Upon full payment of the agreed flat fee, 100% of the codebase, assets, and associated intellectual property of the custom MVP are transferred entirely to you.
- Our Arsenal: We may utilize pre-existing internal boilerplates, open-source libraries, and foundational architecture patterns to accelerate development. Rights to these foundational structures remain with their respective owners or with Kairo Labs, though you are granted an irrevocable license to use them within your shipped product.
3. Financial Terms
Our engagements operate on a flat-fee basis with no equity extraction and no required retainers, as detailed on our Pricing page. All financial terms, installment structures (if any), and refund protocols are explicitly detailed in the individual project MSA.
4. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Kairo Labs, its affiliates, agents, directors, or employees, be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, our services or the shipped MVPs.
5. Governing Law and Jurisdiction
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of India. You irrevocably agree that the courts of India shall have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, these Terms or their subject matter.
6. Amendments
We reserve the right to amend these terms at any time at our sole discretion. It is your responsibility to review these Terms of Service periodically. Your continued use of the website following the posting of revised Terms means that you accept and agree to the changes.
